1. Acceptance of Terms
By accessing or using the Ordis platform at ordis.io (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement between you and Ordis (“we”, “our”, or “us”), governed by the laws of the Republic of Ghana.
2. Description of Service
Ordis is an AI-powered regulatory compliance platform that helps businesses identify, track, and manage their regulatory obligations in Ghana. The Service includes compliance analysis, task management, deadline tracking, and notification features.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent. By using the Service, you represent and warrant that you meet these requirements.
4. Account Registration
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activities that occur under your account.
- Notify us immediately at ordis@sinerd.com if you suspect unauthorized access.
5. Subscriptions and Billing
5.1 Plans
Ordis offers Free, Starter, and Professional subscription plans. Features and limits for each plan are described on our Pricing page.
5.2 Payment
- Paid plans are billed monthly in advance in Ghana Cedis (GHS).
- We accept Mobile Money (MTN, Vodafone, AirtelTigo), Visa, Mastercard, and bank transfers.
- Prices are exclusive of applicable taxes unless otherwise stated.
5.3 Cancellation
- You may cancel your subscription at any time from your dashboard.
- Cancellation takes effect at the end of the current billing period.
- We offer a full refund within the first 14 days of any new paid plan.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorized access to the Service or its systems.
- Interfere with or disrupt the Service or servers connected to it.
- Reproduce, duplicate, copy, sell, or resell any part of the Service without express written permission.
- Upload malicious code, viruses, or harmful data to the Service.
- Impersonate another person or entity.
7. Intellectual Property
All content, features, functionality, and technology of the Service are owned by Ordis and are protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or branding without prior written consent.
Your data remains your property. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.
8. Disclaimer of Warranties
The Service is provided “as is” and “as available.” We make no warranties, express or implied, regarding:
- The accuracy or completeness of compliance information.
- The uninterrupted or error-free operation of the Service.
- The suitability of the Service for any particular purpose.
Ordis does not provide legal, tax, or financial advice. The Service is an informational and organizational tool. Users should consult qualified professionals for legal, tax, and financial decisions.
9. Limitation of Liability
To the maximum extent permitted by Ghanaian law, Ordis shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, including but not limited to:
- Missed compliance deadlines or regulatory penalties.
- Loss of data, revenue, or business opportunities.
- Errors or omissions in compliance information.
Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Ordis and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
12. Modifications to the Service
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.
13. Changes to These Terms
We may revise these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
14. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Ghana. Any disputes arising from these Terms shall be resolved through negotiation first, and if unresolved, through arbitration in Accra, Ghana in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798).
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ordis regarding the Service and supersede all prior agreements.
